Item 1C. Cybersecurity.

ITEM 1C. CYBERSECURITY Cybersecurity represents a critical component of the Company s overall approach to risk management. The Company’s cybersecurity standards and practices are guided by CIS s Critical Security Controls, which provides a framework for prioritizing best practices to improve the Company’s cyber security measures. The Company, using CIS’s guidance, approaches cybersecurity threats, through a cross-functional, multilayered approach, for purposes of: (i) identifying, preventing and mitigating cybersecurity threats to the Company; (ii) preserving the confidentiality, integrity and availability of the information that we collect and store to use in our business; (iii) protecting the Company s intellectual property; (iv) maintaining the confidence of our customers, consumers, patients and business partners; and (v) providing appropriate public disclosure of cybersecurity risks and incidents when required. Risk Management and Strategy The Company s cybersecurity program focuses on the following areas: Vigilance : The Company s endpoints and networks are monitored 24/7 by its security operations center and the Company conducts periodic reviews and testing to prevent and mitigate cybersecurity threats and respond to cybersecurity incidents. Systems Safeguards : The Company deploys systems safeguards that are designed to protect the Company s information systems from cybersecurity threats, including firewalls, intrusion prevention and detection systems, anti-malware functionality and access controls, which are evaluated and improved through vulnerability assessments and cybersecurity threat intelligence. Collaboration : The Company collaborates with public and private entities, including intelligence and law enforcement agencies, industry groups and third-party service providers, to identify, assess and respond to cybersecurity risks. 66 Table of Contents Training : The Company provides periodic training for personnel regarding cybersecurity threats, which reinforces the Company s information security policies, standards and practices. Incident Response and Recovery Planning : The Company has established and maintains incident response and recovery plans that address the Company s response to a cybersecurity incident and the recovery from a cybersecurity incident, and such plans are evaluated annually. Communication, Coordination and Disclosure : The Company utilizes a cross-functional approach to address the risk from cybersecurity threats, involving management personnel from the Company s IT, legal, enterprise risk and compliance, internal audit and other key business functions, as well as the members of the Board and the Audit Committee in an ongoing dialogue regarding cybersecurity threats and incidents, while also implementing controls and procedures for the escalation of cybersecurity incidents pursuant to established thresholds so that decisions regarding the disclosure and reporting of such incidents can be made by management in a timely manner. Governance : The Board s oversight of cybersecurity risk management is supported by the Audit Committee, which regularly interacts with the company s Chief Financial Officer, the Company s VP of Information Technology, other members of management and the Company’s external Chief Information Security Officer. A key part of the Company s strategy, informed by CIS s guidance, for managing risks from cybersecurity threats is the regular evaluation, ongoing assessment and testing of the Company s processes and practices through assessments, tabletop exercises, threat modeling, penetration testing, employee training and testing (including on phishing scams), and other exercises focused on evaluating the effectiveness of our cybersecurity measures. The Company engages third parties to perform assessments of our cybersecurity measures, including information security maturity assessments and independent reviews of our information security control environment and operating effectiveness. The results of such assessments and reviews are reported to the Audit Committee and the Board, and the Company adjusts its cybersecurity policies, standards, processes and practices as necessary based on the information provided by the assessments, audits and reviews. Governance The Board, in coordination with the Audit Committee, oversees the management of risks from cybersecurity threats, including the policies, standards, processes and practices that the Company s management implements to address risks from cybersecurity threats. The Board and the Audit Committee each receive regular presentations and reports on cybersecurity risks, which address a wide range of topics including, for example, recent developments, evolving standards, vulnerability assessments, third-party and independent reviews, the threat environment, technological trends and information security considerations arising with respect to the Company s peers and third parties. The Audit Committee also receives prompt and timely information regarding any cybersecurity incident that meets preestablished factors, as well as ongoing updates regarding such incident until it has been resolved. Cybersecurity events that meet specified criteria are also escalated to the Disclosure Committee. At least once each year, the Audit Committee holds a meeting dedicated to cybersecurity matters, in addition to receiving quarterly updates on cybersecurity matters at regularly scheduled Audit Committee meetings. On an annual basis, Company management presents to the Board on the Company’s approach to cybersecurity risk management. The Company s VP of Information Technology is the member of the Company s management that is principally responsible for overseeing the Company s cybersecurity risk management program, in partnership with the Company s Chief Financial Officer and other business leaders across the Company, including in cybersecurity and legal and enterprise risk & commercial compliance. The VP of Information Technology has over twenty years of technology experience, during which his responsibilities have included technology operations, third-party assessments and risk management. The Company has established a Core Incident Response Team, which is comprised of the VP of Information Technology and members of the cybersecurity, legal and enterprise risk & commercial compliance teams. The Core Incident Response Team works with other members of the Company s management and collaboratively across the Company to promptly respond to cybersecurity incidents in accordance with the Company s incident response and recovery plans. Through the ongoing communications from these teams, the Core Incident Response Team, along with the Chief Financial Officer, monitors the prevention, detection, mitigation and remediation of cybersecurity incidents in real time. Cybersecurity events that meet specified criteria are escalated for further review by the Audit Committee and/or the Disclosure Committee. 67 Table of Contents The Disclosure Committee assesses and determines materiality based on the information provided by the Incident Response Team and makes recommendations to the Chief Financial Officer regarding disclosure. In addition, the Company s VP of Information Technology works closely with an external Chief Information Security Officer to provide valuable perspectives and industry insights into evaluating cybersecurity threats. The Chief Information Security Officer has over twenty-five years of experience in cross-vertical security, software, and systems engineering. To date, no risks from cybersecurity threats, including as a result of any previous cybersecurity incidents, have materially affected or are reasonably likely to materially affect the Company, including our business strategy, results of operations or financial condition.
